These terms govern your use of CarpetApp. By using this software, you agree to be bound by them. If you are a director or authorised representative of Marquee Carpets Limited, your acceptance also binds the company to the terms set out below.
CarpetApp is a business management system built by CentreCRM Ltd for Marquee Carpets Limited (company number 7825813). It is designed to manage orders, inventory, deliveries, invoicing, customer communications and related business operations.
CentreCRM Ltd has transferred ownership of CarpetApp to Marquee Carpets Limited, subject to the conditions set out in these terms.
These terms apply to every person who accesses or uses CarpetApp, including directors, office staff, sales staff, warehouse staff, drivers and any other individual granted access by Marquee Carpets Limited.
Throughout these terms:
3.1 Marquee Carpets Limited owns CarpetApp. This includes the source code, database schemas, documentation and all associated intellectual property.
3.2CentreCRM Ltd retains the right to reuse generic software components (such as PDF generation tools, email systems, or authentication modules) that are not specific to Marquee Carpets’ business. CentreCRM has no rights over any business logic, workflows, data or branding belonging to Marquee Carpets.
4.1 Marquee Carpets shall not:
4.2 Marquee Carpets may freely use, configure and operate the software for its own internal business purposes without restriction.
5.1 If Marquee Carpets sells all or a substantial part of its business, the software may be transferred to the buyer as part of that sale.
5.2 The buyer must agree to the same restrictions set out in these terms before the transfer takes effect.
5.3Marquee Carpets must give CentreCRM at least thirty (30) days’ written notice before any such transfer.
6.1 For the first twelve (12) months from the Effective Date, CentreCRM will provide all updates, bug fixes and new features at no additional charge.
6.2 After this initial period, ongoing updates, support and development will be available under a separate Service Agreement between Marquee Carpets and CentreCRM. CentreCRM is under no obligation to provide further updates unless a Service Agreement is in place.
6.3 All updates delivered become part of the software and are owned by Marquee Carpets.
7.1 To protect the security and stability of CarpetApp, any changes to the source code, database or infrastructure must be reviewed and approved in writing by CentreCRM before being applied to the live system.
7.2 CentreCRM will respond to change requests within fourteen (14) business days and will not unreasonably refuse approval.
7.3 This does not apply to normal day-to-day use of the software, such as entering data, adjusting settings, or configuring the system through its standard interface.
8.1 If CentreCRM ceases to trade, enters administration or liquidation, or fails to respond to written communications for sixty (60) continuous days, all restrictions in clauses 4, 7 and 3.2 of these terms shall automatically and permanently cease to apply.
8.2 In that event, Marquee Carpets will have the unrestricted right to use, modify, develop and maintain the software by any means, including engaging other developers.
8.3For the purposes of this clause, written communication means a request sent to CentreCRM’s last known email address and registered office address.
9.1 You must keep your login details confidential. Do not share your username or password with anyone else.
9.2 You are responsible for all activity carried out under your account. If you believe your account has been compromised, notify your manager immediately.
9.3You must use CarpetApp only for legitimate business purposes related to Marquee Carpets’ operations.

9.5 Marquee Carpets may monitor system usage and activity logs to ensure the security and proper functioning of the software.
10.1All business data in CarpetApp — including customer records, orders, financial information, inventory data and delivery records — belongs to Marquee Carpets Limited.
10.2 CentreCRM has no claim to any business data stored in the system.
10.3Your use of CarpetApp is also subject to Marquee Carpets’ Privacy Policy, which explains how personal data is collected, stored and used.
All hosting accounts, databases, domain names, payment gateway accounts, API keys and third-party service accounts used to run CarpetApp are owned by Marquee Carpets Limited.
12.1CarpetApp is provided on an “as is” basis. During the initial support period and any active Service Agreement, CentreCRM warrants that updates will be developed with reasonable skill and care.
12.2 To the fullest extent permitted by law, CentreCRM shall not be liable for any indirect or consequential loss arising from the use of the software.
12.3 Nothing in these terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.
13.1Marquee Carpets may suspend or revoke any user’s access to CarpetApp at any time, for any reason.
13.2 If your access is revoked, you must not attempt to access the system by any other means.
Marquee Carpets may update these terms from time to time. If material changes are made, you will be asked to review and accept the updated terms before continuing to use CarpetApp.
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
